1. The service
Pure//Pay is a software platform operated by Pure Pay LLC ("Pure//Pay", "we") that helps businesses import payables, manage approvals, and initiate ACH payments to U.S. vendors and contractors. Pure//Pay is not a bank. Banking and ACH payment services are provided by Moov Financial, Inc. ("Moov") and its partner financial institutions, subject to Moov's own terms and verification requirements.
2. Eligibility & accounts
The service is available to U.S. businesses. You must provide accurate information, complete identity and business verification (KYC/KYB) before initiating payments, and keep your credentials secure. You are responsible for activity under your workspace, including users you invite and the roles you assign them.
3. Payments & ACH authorization
By initiating a payment you authorize the associated debits and credits over the ACH network. Settlement times depend on the ACH network and bank processing schedules and are not guaranteed. You are responsible for the accuracy of payment instructions, including vendor bank details, and for maintaining sufficient funds.
4. Fees
Fees are described on our pricing page or in your order form and may change with notice. Applicable network or bank fees, returns, and reversal costs may be passed through.
5. Acceptable use
You may not use the service for illegal activity, consumer-to-consumer transfers, prohibited industries, or transactions that violate Moov's or its partner banks' policies. We may suspend or terminate workspaces that present fraud, legal, or compliance risk.
6. Your data
You retain your data. You grant us the rights needed to operate the service (for example syncing with QuickBooks at your direction and transmitting bank details securely to Moov). See the Privacy Policy for details.
7. Third-party services
Integrations such as QuickBooks Online, Mercury, and email delivery are provided by third parties under their own terms. We are not responsible for third-party outages or acts.
8. Disclaimers
The service is provided "as is" without warranties of any kind. Nothing in the service constitutes legal, tax, accounting, or financial advice.
9. Limitation of liability
To the maximum extent permitted by law, Pure Pay LLC's aggregate liability arising out of the service is limited to the fees you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Termination
You may stop using the service at any time. We may suspend or terminate access for breach of these terms, risk, or legal requirements. Provisions that by their nature survive termination will survive.
11. Changes
We may update these terms; the version date below governs. Material changes will be communicated in the app or by email. Continued use after changes take effect constitutes acceptance.
